The question we hear most from foreign investors is simple: can I open a company in Saudi Arabia and own all of it? In most activities, yes. But there is one condition many people miss: you don't apply as an individual. You apply through a company you own outside the Kingdom.

Below we go through it in order: what you need before you start, whether to open a branch or a Saudi company, the steps, and what the cost covers.

Can a foreigner own 100% of a company in Saudi Arabia?

Yes. Saudi investment rules let foreign investors fully own their company, with no Saudi partner, in most service, industrial and agricultural activities. Trading is allowed too, but with extra conditions we cover below.

Your company abroad is the one that gets the MISA investment license, and it becomes the owner of the new Saudi company. You own the Saudi company through it.

One thing we see too often: investors who take a shortcut and operate under a Saudi citizen's name or someone else's commercial registration. That is commercial concealment (tasattur), and it can mean prison and heavy fines. Proper incorporation takes a little longer, but it is the only safe way.

Requirements for company formation in Saudi Arabia for foreigners

Before anything else, check that your parent company meets these conditions:

  • It is registered in any country outside Saudi Arabia. It doesn't have to be Egypt.

  • It has completed at least one financial year, because the Ministry of Investment asks for its financial statements.

  • It is officially registered in its home country, with no unpaid taxes or social insurance.

  • Its documents are notarized and attested in its home country and by the Saudi embassy.

Some activities have extra conditions. The best known is trading.

What if you don't have a parent company?

Many of our clients start in exactly this position, and it doesn't stop you. The trading activity requirement

For a trading license (buying and selling), you need 3 companies in 3 different countries, in different regions, owned by the parent company or carrying its name. That is why the trading license costs more than other activities.

Choosing those countries deserves care. Some of them charge companies high yearly costs that you keep paying long after formation, so this is a decision to make with a lawyer who knows the differences, not by guesswork.

Several activities under one license

Each activity used to need its own license, and each license was renewed every year. After the investment law amendments, you can combine several activities in one license, as long as none of them has special requirements.

Branch of a foreign company or Saudi company?

When you apply for the license, you will be asked whether you want a branch of your foreign company or a Saudi company owned by it. The difference is bigger than it looks:

Best legal form for a foreign investor

If you will own the company alone, a single-person limited liability company is the right choice in most cases. Your liability is limited to the capital, so your personal money isn't at risk if the company runs into debt, and the company has its own Saudi legal personality. Steps to set up a company in Saudi Arabia

1. Prepare the parent company

We review the parent company's papers, prepare its financial statements, then notarize and attest the documents in its home country and at the Saudi embassy. If you don't have a company, we start by setting one up.

2. Get the MISA investment license

We apply to the Ministry of Investment for the activities you have chosen and state whether the entity is a branch or a company. We explain the license and what changed in our article on the MISA license in Saudi Arabia.

3. Reserve the trade name

The name must not already be in use in the Kingdom. This is often the longest step, so it helps to have a few alternatives ready.

4. Draft the articles of association

We draft the articles to fit the company type and define the manager's powers precisely, since they govern how the company is run afterwards.

5. Issue the commercial registration

Once the articles are approved, the Saudi commercial registration (CR) is issued and the company legally exists. See our guide to commercial registration for foreigners.

6. Register on government platforms

The last step is registering on Qiwa, the National Address (Sabl), GOSI, and ZATCA for VAT, income tax and Zakat, and setting up HR. After that, the company can start operating. Many activities also need a municipality license.

Documents required

From the parent company we need:

  • Commercial registration.

  • Articles of association.

  • Financial statements.

  • A resolution to establish the Saudi company and appoint the manager.

From you, passport copies of the manager and shareholders. All documents must be notarized and attested in the home country and by the Saudi embassy. Some activities need extra papers, and we will tell you which ones before we start.

I have a company in Algeria. Can I invest in Saudi Arabia under the same name?

Yes. A branch carries your parent company's name, and a Saudi company can use the same name as long as it isn't already in use in the Kingdom.

Can several investors share one company and split the cost?

Yes, through a multi-partner LLC, with each partner's share set in the articles of association.

I live and work in Saudi Arabia. Can I set up a company I fully own?
